These Terms and Conditions ("Terms") constitute a legally binding agreement between you and PRODIGY SMART SOLUTIONS ("WASBOT," "we," "us," or "our") governing your access to and use of the WASBOT platform at www.wasbot.app and all related services. By accessing or using WASBOT, you agree to be bound by these Terms.

1. Agreement to Terms

By accessing or using WASBOT, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our services. These Terms apply to all visitors, users, and others who access or use our platform.

We reserve the right to update these Terms at any time without prior notice. Your continued use of the platform after any changes constitutes acceptance of the new Terms.

2. Service Description

WASBOT is a WhatsApp automation platform designed to enhance WhatsApp communication, contact management, and marketing capabilities. Our services include:

  • Automatic contact saving from WhatsApp conversations
  • Batch saving of unsaved contacts
  • WhatsApp Status posting to multiple recipients
  • Group messaging and member tagging
  • Google Contacts integration
  • Contact export functionality

Our mission is to facilitate social media marketing through comprehensive tools tailored to your online business needs.

3. Account Registration

3.1 Eligibility

You must be at least 18 years of age to use WASBOT. If you are under 18, you may only use our services with the involvement of a parent or guardian who agrees to these Terms.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Notify us immediately of any unauthorized access or security breach
  • Not share your account credentials with third parties

4. User Content & Data

You retain ownership of all content you submit, post, or transmit through WASBOT. By using our services, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and display your content solely for the purpose of providing and improving our services.

When importing contacts or data from third-party services (including WhatsApp and Google), you confirm that you have the necessary authority and consent to import such data and use it through our platform.

Prohibited Content: You agree not to use WASBOT to transmit content that:

  • Is illegal, harmful, threatening, abusive, or harassing
  • Violates any third-party rights, including intellectual property rights
  • Contains spam, malware, or phishing attempts
  • Promotes violence, discrimination, or illegal activities
  • Violates WhatsApp's Terms of Service or community guidelines

5. Acceptable Use

You agree to use WASBOT only for lawful purposes and in accordance with these Terms. You shall not:

  • Use our services to violate any applicable laws or regulations
  • Attempt to interfere with or disrupt our services or servers
  • Reverse engineer, decompile, or attempt to extract the source code of our platform
  • Use automated scripts or bots to access our services without authorization
  • Impersonate any person or entity or misrepresent your affiliation
  • Use our services to send unsolicited bulk messages (spam)
  • Resell or redistribute our services without authorization

6. Payments & Subscriptions

WASBOT offers various subscription tiers with different features and limitations. Current pricing is available on our Pricing page. We reserve the right to modify pricing with reasonable notice.

All payments are processed securely through our payment providers (Paystack, Flutterwave). By subscribing, you authorize us to charge your selected payment method for the applicable fees.

Refund Policy: All payments are non-refundable. Once a payment is made, it cannot be refunded under any circumstances. Please ensure you understand the features and limitations of your chosen plan before subscribing.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to paid features until then.

7. Intellectual Property

WASBOT and its original content, features, and functionality are owned by PRODIGY SMART SOLUTIONS and are protected by international copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used without our prior written permission. All other trademarks not owned by us that appear on our platform are the property of their respective owners.

8. Third-Party Services

WASBOT integrates with third-party services including WhatsApp and Google. Your use of these integrations is also governed by their respective terms of service:

9. Disclaimers & Warranties

WASBOT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE

We do not warrant that any information provided through our services is accurate, reliable, or complete. Any reliance on such information is at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WASBOT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or property damage
  • Unauthorized access to or alteration of your data
  • Any third-party conduct or content

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

You may terminate your account at any time by contacting us at admin@wasbot.app or through your account settings.

Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

You agree to submit to the exclusive jurisdiction of the courts located in Nigeria for the resolution of any disputes arising from these Terms or your use of our services.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of WASBOT after any changes constitutes your acceptance of the modified Terms. If you do not agree to the updated Terms, you must stop using our services.
